By accessing and using Eclipse Cloud ("Service", "Platform", "we", "us", or "our"), you accept and agree to be bound by the terms and provision of this agreement.

If you do not agree to these Terms of Service, please do not use our Service. Your continued use of the Service constitutes acceptance of these terms.

Eclipse Cloud provides a comprehensive, white-labeled Enterprise Resource Planning (ERP) system including but not limited to:

• Project management and tracking
• Client relationship management (CRM)
• Support ticket system
• Financial management and invoicing
• Quotation and proposal generation
• User management and role-based access control
• Reporting and analytics
• Multi-tenant architecture

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

Account Restrictions

You must be at least 18 years old to create an account. You may not:

• Create an account using false or misleading information
• Share your account credentials with others
• Create multiple accounts to circumvent restrictions
• Transfer or sell your account to another party

Subscription Fees

Eclipse Cloud operates on a subscription basis at $20/month (or as otherwise specified). By subscribing, you agree to:

• Pay all fees associated with your subscription
• Automatic renewal unless cancelled before the billing date
• Prices are subject to change with 30 days notice
• No refunds for partial months or unused services

Billing

Payments are processed through PayPal. By providing payment information, you authorize us to charge your account on a recurring basis.

Cancellation & Refunds

• 7-Day Money-Back Guarantee: Full refund available within 7 days of initial subscription
• Cancellation: You may cancel at any time; service continues until end of billing period
• No Prorated Refunds: Cancellations do not result in partial month refunds

Late Payments

If payment fails, we reserve the right to suspend or terminate your access until payment is received. Continued non-payment may result in account deletion.

You agree NOT to use the Service to:

• Violate any laws, regulations, or third-party rights
• Upload or transmit viruses, malware, or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Use the Service for illegal activities or fraud
• Harass, abuse, or harm other users
• Scrape, crawl, or spider the Service without permission
• Reverse engineer or attempt to extract source code
• Remove or modify any proprietary notices
• Use the Service to compete with Eclipse Cloud

Violation of this policy may result in immediate termination of your account without refund.

Our Property

All content, features, and functionality of the Service, including but not limited to software, text, graphics, logos, and trademarks, are owned by Eclipse Cloud and protected by copyright, trademark, and other intellectual property laws.

Your Content

You retain all rights to the data and content you upload to the Service ("Your Content"). By using the Service, you grant us a license to:

• Store and process Your Content to provide the Service
• Create backups and ensure service availability
• Use aggregate, anonymized data for analytics

You represent and warrant that you have all necessary rights to Your Content and that it does not violate any third-party rights.

Our collection and use of personal information is governed by our Privacy Policy. By using the Service, you consent to such collection and use.

Data Security

We implement industry-standard security measures to protect your data, including:

• HTTPS/TLS encryption for data in transit
• AES-256 encryption for data at rest
• Regular security audits and updates
• Access controls and authentication
• Regular automated backups

Data Ownership & Export

You own your data. You may export your data at any time through our export features. Upon account termination, we will retain your data for 30 days before permanent deletion.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We do not warrant that:

• The Service will be uninterrupted or error-free
• Defects will be corrected
• The Service is free of viruses or harmful components
• Results obtained from the Service will be accurate or reliable

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ECLIPSE CLOUD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

Our total liability to you for any claim arising from or relating to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Service Level

While we strive for 99.9% uptime, we do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.

Termination by You

You may cancel your subscription at any time through your account settings or by contacting support. Your access will continue until the end of your billing period.

Termination by Us

We reserve the right to suspend or terminate your account:

• For violation of these Terms of Service
• For non-payment of fees
• For fraudulent or illegal activity
• If required by law
• At our discretion, with or without cause

Effect of Termination

Upon termination:

• Your access to the Service will cease immediately
• You will have 30 days to export your data
• After 30 days, your data will be permanently deleted
• No refunds will be provided for unused subscription time (except within 7-day guarantee period)

We reserve the right to modify these Terms of Service at any time. We will notify you of significant changes by:

• Posting the updated terms on our website
• Sending an email to your registered email address
• Displaying a notice in the Service

Your continued use of the Service after changes are posted constitutes acceptance of the updated terms. If you do not agree to the changes, you must cancel your subscription.

The "Last updated" date at the top of this page indicates when these terms were last revised.

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Eclipse Cloud operates, without regard to conflict of law provisions.

Dispute Resolution

Any disputes arising from these terms or your use of the Service shall be resolved through:

1. Negotiation: Contact us to resolve the dispute informally
2. Mediation: If negotiation fails, we agree to mediation
3. Arbitration: Binding arbitration as a last resort

Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in class actions or class arbitrations.
